Generational Process
At Generational, our experienced M&A professionals work closely with business owners to help them determine the best timing and direction that will help them reach their goals.
Generational Group uses a structured M&A process that guides business owners from exit planning and valuation through market preparation, buyer outreach, negotiations, due diligence, and closing.
The process includes developing an exit strategy, completing pre-market advisory and valuation work, preparing the Confidential Information Memorandum (CIM) and other transaction materials, developing a targeted buyer list, confidentially marketing the business to potential buyers, executing non-disclosure agreements (NDAs), distributing information to qualified buyers, managing indications of interest and competitive bidding, negotiating letters of intent (LOIs), completing due diligence, supporting negotiations of the definitive purchase agreement, and closing the transaction.
A typical Generational Group M&A transaction takes approximately 6 to 12 months from the moment the deal is launched. The timeline varies based on the company’s market readiness, industry, financial performance, buyer interest, market conditions, and transaction complexity.
Once a buyer has been selected and a letter of intent (LOI) has been negotiated, the due diligence phase commonly takes approximately 45 to 90 days. Following due diligence, negotiations of the definitive purchase agreement and closing typically take an additional 30 to 60 days.
For business owners who are not yet ready to sell, Generational recommends beginning exit planning one to three years in advance. This provides additional time to strengthen the business, address potential issues, and build value before entering the market. Owners seeking significant growth in revenue and profitability may also engage Generational Growth Advisors before going to market.
Generational Group uses a confidential M&A process designed to protect your company’s identity and sensitive business information throughout the entire process.
Initial marketing materials are designed to avoid identifying your company. Sensitive information is not released until an interested buyer signs a binding non-disclosure agreement (NDA). You can choose who is allowed to see your information and who is not. Generational also works closely with you to obtain approval of marketing documents and the release of the Confidential Information Memorandum (CIM) to potential buyers.
Generational Group has a proprietary database of more than 42,000 registered buyers, including strategic acquirers, private equity firms, family offices, international buyers, and other financial buyers.
Rather than simply listing your business for sale, Generational develops a targeted buyer strategy based on your company’s strengths, intangible assets, industry, and transaction objectives.
Generational also owns DealForce, a leading middle-market digital M&A platform serving the investment community. With more than 42,000 registered global buyers, DealForce enables efficient buyer searches and matching, helping to accelerate the transaction process.
In addition, Generational has a strategic partnership with Nihon M&A Center, Japan’s largest M&A firm, providing access to an additional 25,000 registered buyers. This relationship significantly expands Generational’s reach to potential buyers in Japan and other international markets.
Yes. Generational Group helps business owners raise growth capital through partial sales or recapitalizations, allowing owners to retain a meaningful equity stake in their companies.
These transactions commonly involve private equity firms, family offices, strategic investors, and other institutional buyers. The capital can be used to fund acquisitions, expansion, new locations, technology, or other growth initiatives.
A partial sale can also provide owners with immediate liquidity, reduced financial risk, and continued equity ownership, preserving the opportunity for a second transaction as the business grows.

Yes. Generational Growth Advisors helps business owners develop and execute strategic growth plans designed to strengthen their companies and increase enterprise value before an eventual exit.
Buyers place significant value on businesses that can demonstrate a clear, credible path for future growth. A strategic growth plan can therefore complement an exit plan by helping owners strengthen their businesses, improve financial performance, increase enterprise value, and present a more compelling growth story when they eventually go to market.
The Generational Exit Strategy Conference is a complimentary, one-day educational program that helps business owners understand how to grow, prepare, and eventually exit their businesses.
More than 120,000 business owners have attended Generational’s conferences to strengthen their Exit Intelligence (EI), gaining the knowledge and strategic perspective needed to prepare their businesses before going to market.
The conference provides strategies to grow your business, increase its value, and sell with confidence in today’s market. Attendees learn how their business will be valued by buyers, how to make it worth more, and when to sell for the strongest possible outcome.
Topics include business valuation, buyer readiness, the M&A process, finding buyers, negotiations, deal structure, and other important considerations before going to market.
There is no obligation to hire Generational. Business owners interested in exploring a potential relationship with the firm can speak with a Generational advisor following the conference.
Generational Group uses a comprehensive business valuation process that goes well beyond applying a simple multiple of earnings.
The process includes a three-year review of historical financial performance combined with a five-year pro forma financial projection, providing a nine-year financial perspective to help establish a range of enterprise values for the business.
Generational analyzes and recasts the company’s financial statements to better reflect underlying operating performance, including appropriate adjustments for shareholder-related expenses, nonrecurring expenses, and extraordinary items.
The valuation also considers comparable transactions, discounted cash flow analysis, market conditions, growth prospects, capital requirements, and intangible assets.
Fees
Unlike many middle-market investment banks, Generational credits the engagement fee against the success fee when a transaction closes, except where prohibited by state regulations.
Generational Group is compensated through an engagement fee when you hire the firm and a success fee when your business is sold. Unlike many middle-market investment banks, Generational credits the engagement fee against the success fee when a transaction closes, except in the rare case where prohibited by state regulations.
The engagement fee supports the significant work required to prepare your business for market and execute a professional M&A process. It also demonstrates commitment to the process, something serious buyers look for. This is a one-time fee, and Generational does not bill clients for additional expenses such as travel, lodging, meals, administrative costs, marketing materials, research, progress payments, or breakup fees.
The success fee is based on the final selling price of the business and follows an industry-standard percentage schedule that varies with the size of the transaction. The success fee schedule is confirmed with each client before entering into an agreement. Generational does not receive its success fee until the client receives the transaction proceeds at closing.
Again, Generational credits the engagement fee against the success fee when a transaction closes, except in the rare case where prohibited by state regulations.
Generational Group’s engagement fee covers the extensive pre-market preparation required to position a business for sale. This includes a comprehensive business valuation, financial analysis and recasting of financial statements, the Roadmap to Enhanced Value (REV), pre-market due diligence analysis, buyer data room preparation, and development of the Confidential Information Memorandum (CIM). It also includes a personal wealth review by Generational Wealth Advisors.
This preparation is an important part of Generational’s M&A process. Buyers invest significant time and resources in evaluating an acquisition. Having complete financial information, organized documentation, a robust data room, and due diligence materials prepared in advance builds buyer confidence and helps keep transactions moving toward closing.
This comprehensive preparation “muscle” has been a key contributor to Generational’s success in completing more than 1,900 transactions.
Culture and Reviews
Generational Group differentiates itself through its organizational culture, experienced professionals, core values, and comprehensive M&A process.
Generational Group differentiates itself through its organizational culture, experienced professionals, core values, and comprehensive M&A process. The firm’s approach is client-centric and relationship-driven rather than purely transactional.
Unlike many investment banks, Generational employs numerous former entrepreneurs, creating a business owner DNA that flows throughout the organization. This firsthand experience provides a valuable perspective on the challenges, opportunities, and personal considerations involved in selling a business.
Generational also provides a comprehensive, team-based M&A process, rather than simply listing a business for sale or introducing owners to a limited number of potential buyers.
The process includes valuation and exit planning, professional transaction materials, data room preparation, targeted buyer research, confidential marketing, competitive outreach through its network of more than 42,000 registered buyers, management of buyer interest and offers, negotiations, deal structuring, due diligence preparation, and support through closing.
A significant differentiator is the extensive preparation completed before a business goes to market. Buyers expect sophisticated financial analysis, comprehensive transaction materials, and organized due diligence information. Generational’s pre-market advisory work is designed to make businesses more transaction-ready and help qualified buyers evaluate opportunities efficiently.
Generational has completed more than 1,900 transactions and ranked #1 or #2 in LSEG league tables for transactions between $25 million and $1 billion in both 2024 and 2025.
Each Generational Group transaction is supported by a dedicated team of at least six M&A professionals, rather than relying on a single business broker to manage the entire process.
Generational assembles each deal team based on the company’s size, industry, geography, transaction objectives, and the expertise required.
Your team typically includes:
- Senior Managing Director: Serves as your primary point of contact and oversees the overall process, coordinating internal resources and keeping the transaction on track.
- Client Experience Professional: Manages onboarding, information gathering, and development of the initial client profile and data room.
- Evaluation Analyst: Conducts financial analysis and valuation work and develops key materials, including the Confidential Information Memorandum (CIM) and Roadmap to Enhanced Value (REV).
- Buyer Coverage Analyst: Researches and develops a targeted list of potential buyers based on your business and insights gathered during the pre-market process.
- Vice President, M&A: Supports buyer outreach, sourcing, and initial conversations with interested parties.
- Managing Director, M&A: Leads the deal-making process, including buyer engagement, negotiations, and advancing the transaction toward closing.
This team-based approach provides business owners with specialized M&A expertise at every stage, from initial evaluation and preparation through buyer outreach, negotiations, due diligence, and closing.
Generational Group has completed more than 1,900 transactions and provides prospective clients with information about its industry experience, relevant closed transactions, over 500 client testimonial videos, and reference letters from business owners who have worked with the firm.
Because confidentiality is fundamental to the M&A process, Generational generally does not provide prospective clients with the identities and contact information of past clients. Generational’s clients trust the firm to protect information about their businesses and transactions, both during and after the sale process.
Business owners evaluating Generational can review the firm’s transaction history, client reference letters, and testimonial videos to learn about the experiences of other owners who have worked with the firm.
